These Terms and Conditions ("Terms") govern your access to and use of Bioanalytix websites, applications and services ("Bioanalytix" or the "Service").
By creating an account, purchasing a subscription or using the Service, you agree to these Terms.
1. About Bioanalytix
Bioanalytix is a technology, analytical and planning platform that brings together financial-planning information, longevity assumptions and, where a user chooses, supported biological and genetic evidence.
Bioanalytix is designed to help users explore uncertainty and alternative long-term planning scenarios. It does not eliminate uncertainty and does not promise or guarantee any particular health, longevity, investment, retirement or estate outcome.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into these Terms to create a Bioanalytix account.
You must provide accurate account information and keep your login credentials secure.
You are responsible for activity undertaken through your account except to the extent that activity results from a failure by Bioanalytix to use reasonable security measures.
You must promptly notify us if you reasonably believe your account has been compromised.
3. Subscriptions, trials and billing
Some Bioanalytix functionality requires a paid subscription.
The price, billing interval, trial period (if any) and included functionality applicable to a subscription are displayed before purchase.
Unless stated otherwise at the time of purchase, a paid subscription continues for the selected billing interval and renews automatically until cancelled.
If a free trial is offered, your subscription may convert to a paid subscription at the end of the trial unless you cancel before the trial ends. The applicable price and renewal interval will be disclosed before you subscribe.
You may manage or cancel your subscription using the billing controls made available through Bioanalytix or its payment provider.
Cancellation ordinarily takes effect in accordance with the subscription and billing information shown when you cancel. Amounts already paid are non-refundable except where required by law or expressly stated otherwise.
We may change subscription prices or plan structures prospectively. Where required, reasonable notice will be provided before a change affects an existing subscription.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including rights that may arise under the Australian Consumer Law.
4. DNA functionality and consent
DNA functionality is optional.
Where you choose to use supported DNA functionality, your raw DNA file is processed locally in your browser. The raw DNA file itself is not uploaded to or stored by Bioanalytix.
Only selected genetic observations relevant to supported Bioanalytix analyses, together with limited source metadata, are transmitted to the Service.
You must provide the consent requested by Bioanalytix before genetic information is submitted for analysis.
You must only upload or process DNA information that relates to you, unless Bioanalytix expressly permits another use and you have all authority and consent legally required to provide that information.
You may replace or delete genetic information using controls made available through the Service.
5. Genetic and health information
Genetic associations are probabilistic rather than deterministic. Scientific understanding changes over time, associations may differ across populations and contexts, and individual outcomes depend on many genetic, environmental, behavioural and other factors.
Bioanalytix does not predict the age at which you will die and does not guarantee that you will or will not develop any disease or condition.
Genetic and health-related information presented by Bioanalytix is provided for analytical, educational and planning purposes. It is not a medical diagnosis, genetic counselling, medical treatment or a substitute for advice from an appropriately qualified health professional.
You should seek professional medical or genetic advice before making health decisions based on genetic or health-related information.
6. Financial and investment information
Bioanalytix may model matters including longevity risk, retirement horizons, spending, asset allocation, portfolio sustainability, withdrawal strategies and estate outcomes.
These outputs are scenarios and analytical tools. They depend on assumptions, inputs, model specifications and uncertain future events.
Unless expressly stated otherwise in a separate regulated service agreement, Bioanalytix does not provide personal financial product advice, securities recommendations, brokerage services or a guarantee that a particular investment strategy is suitable for you.
Nothing in the Service guarantees investment returns, portfolio sustainability, retirement income, tax outcomes or estate outcomes.
You remain responsible for financial decisions you make. Where appropriate, obtain advice from a suitably qualified and licensed professional who can consider your individual circumstances.
7. Planning assumptions and model limitations
Long-term planning necessarily involves uncertainty.
Bioanalytix models may use assumptions concerning matters such as lifespan, health, inflation, investment returns, volatility, spending, taxation, asset allocation and other variables.
Actual outcomes may differ materially from modelled outcomes.
Model outputs should therefore be interpreted as scenarios or estimates rather than forecasts, promises or statements of fact about the future.
Bioanalytix may modify models, assumptions, evidence classifications and analytical methods as scientific knowledge, financial research and the Service evolve.
8. Information you provide
You retain ownership of information you submit to Bioanalytix.
You grant Bioanalytix the limited rights reasonably necessary to host, process, analyse and otherwise use that information to provide, secure and operate the Service in accordance with these Terms and our Privacy Policy.
You are responsible for ensuring that information you provide is reasonably accurate and that you have the right to provide it.
Outputs may be inaccurate or less useful where inputs are incomplete, incorrect or outdated.
9. Acceptable use
You must not:
- use Bioanalytix for unlawful, fraudulent or abusive purposes;
- attempt to gain unauthorised access to another user's account or information;
- interfere with the security, availability or operation of the Service;
- introduce malicious code or deliberately harmful content;
- scrape, reverse engineer or systematically extract the Service except where permitted by law;
- use another person's genetic or sensitive information without lawful authority;
- misrepresent Bioanalytix outputs as medical diagnoses, guaranteed forecasts or regulated professional advice where they are not; or
- use the Service in a manner that infringes the rights of another person.
We may suspend or terminate access where reasonably necessary to protect users, Bioanalytix or the integrity of the Service, or where these Terms are materially breached.
10. Intellectual property
Bioanalytix and its licensors retain all rights in the Service, including software, interface designs, analytical methods, models, documentation, branding and other materials, except for information owned by users or third parties.
Subject to these Terms, Bioanalytix grants you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.
No ownership in Bioanalytix intellectual property is transferred to you.
11. Research and evidence
Bioanalytix may refer to published scientific, financial and other research.
Research evolves. Publication of a study does not mean that a finding is certain, universally applicable or suitable as the sole basis for an individual decision.
Bioanalytix may distinguish between established, emerging and exploratory evidence. Those classifications represent Bioanalytix's interpretation of the available evidence and may change as research develops.
Third-party publications remain the responsibility of their respective authors and publishers.
12. Availability and changes to the Service
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability.
Bioanalytix may add, modify, replace or discontinue features where reasonably necessary to develop, secure or operate the Service.
We may perform maintenance or respond to outages, security events and circumstances beyond our reasonable control.
Where a material change adversely affects a paid subscription, we will take reasonable steps to communicate the change where appropriate.
13. Third-party services
Bioanalytix relies on third-party services for functions such as hosting, authentication, payment processing and email delivery.
Your use of some third-party functionality may also be subject to the provider's terms or privacy practices.
Bioanalytix is not responsible for third-party services to the extent that their operation is outside our reasonable control, subject to any rights you have that cannot lawfully be excluded.
14. Privacy
Our handling of personal information is described in the Bioanalytix Privacy Policy.
Because genetic information can be particularly sensitive, you should review the Privacy Policy and the DNA consent information presented within the Service before using DNA functionality.
15. No professional relationship
Use of Bioanalytix does not by itself create a doctor-patient, genetic counsellor-patient, lawyer-client, accountant-client, financial adviser-client or other professional advisory relationship.
The Service is intended to support understanding and planning, not replace professional judgement where professional advice is required.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided on an "as available" basis.
Bioanalytix does not warrant that analytical outputs will be complete, error-free or predictive of actual future outcomes.
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded or modified.
Where a statutory guarantee or other right applies, these Terms operate subject to that right.
17. Liability
To the maximum extent permitted by law, Bioanalytix is not liable for indirect, incidental, special or consequential loss arising from use of the Service, including loss resulting from reliance on a modelled health, longevity, investment or financial outcome.
You should not make a significant medical, investment, legal, tax or financial decision solely in reliance on a Bioanalytix output.
Any limitation or exclusion of liability in these Terms applies only to the extent permitted by applicable law and does not exclude liability that cannot lawfully be excluded.
18. Account termination
You may stop using Bioanalytix at any time and may delete your account using the controls provided in account settings, subject to any information that must reasonably be retained as described in the Privacy Policy.
We may suspend or terminate an account where reasonably necessary because of material breach, unlawful use, fraud, security risk or conduct that threatens the Service or other users.
Termination does not affect rights and obligations that by their nature are intended to survive termination.
19. Changes to these Terms
We may update these Terms as Bioanalytix evolves.
For material changes, we will take reasonable steps to provide notice where appropriate. The current Terms will be published with their effective date.
If a material change requires your consent under applicable law, we will seek that consent.
20. Governing law
These Terms are governed by the laws of Queensland, Australia.
The parties submit to the jurisdiction of the courts of Queensland and courts entitled to hear appeals from them.
Nothing in this section limits any right you may have under applicable consumer law to bring a claim in another jurisdiction where that right cannot lawfully be excluded.
